Within the framework of the re-organization process of the Financial Planner Networks which belong, directly or indirectly, to Fineco Group S.p.A. - a listed company which is part of the Capitalia Banking Group, Multipartner S.p.A. was:
- appointed by Finecogroup S.p.A. (parent company) and by Banca Fineco S.p.A. (subsidiary) and by Banca Manager Sp.A. (subsidiary) to prepare two Fairness Opinions on the sale price of the Financial Planner Network branches which were transferred from the subsidiaries to the parent company. The Fairness opinions were drawn up in accordance with the Corporate Govenance Code (issued by the Italian Stock Exchange and adopted by the parent company Capitalia S.p.A.) which regards transaction involving related parties;
- appointed by Fineco Group Sp.A. (parent company) and by Banca Fineco S.p.A. (subsidiary) and by Banca Manager Sp.A. (subsidiary), the arbitrator (according to Article no. 1349 of the Italian Civil Code) to determine the fee of the Financial Planner Networks branch which was owned entirely by Finece Group S.p.A. and rented to Banca Fineco S.p.A.
Multipartner S.p.A. completed their work in May 2004.
